These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and IPRightsHub governing your access to and use of our website at iprightshub.com (the "Website"), our proprietary AI-powered intellectual property similarity scanning tools, PDF report generation services, IP-SAM™ monitoring platform, and strategic advisory offerings (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and Disclaimer (collectively, the "Agreements"). If you do not agree to these Terms, you must immediately discontinue use of the Services.

We reserve the right to modify these Terms at any time. Material changes will be communicated via prominent notice on our Website or email notification to registered users. Your continued use of the Services after such modifications constitutes acceptance of the revised Terms.

2. Eligibility and Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding contracts.

Account Security: While most of our scanning tools are available without registration, certain premium features (such as IP-SAM™ monitoring and advisory consultations) may require account creation. If you create an account, you are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use at security@iprightshub.com
• Providing accurate, current, and complete information during registration

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

3. Description of Services

IPRightsHub provides proprietary AI-powered intellectual property analysis services designed to identify potential similarity signals across various IP categories. Our platform is built on advanced machine learning models, comprehensive database integration, and legal-grade analysis algorithms.

3.1 Free Scanning Tools

We offer 36+ AI-powered similarity scanning tools across the following categories, available free of charge:

• Trademark & Brand: Business name, logo, slogan, tagline, brand name similarity analysis
• Digital Presence: Domain name, social media handle, username, gamertag, app name availability checks
• Content & Media: Video title, podcast name, YouTube channel, book title, song title similarity scans
• Product & Design: Product name, packaging, clothing design, character name, mascot analysis
• Platform Compliance: Amazon listing, Etsy product, TikTok Shop, Facebook Ad, YouTube strike risk assessments
• Technology & SaaS: Software name, SaaS brand, tech product similarity detection
• Professional Services: Event name, course title, consulting brand, restaurant name analysis

Free scans provide instant similarity analysis with visual results displayed on-screen. Scan data is temporarily stored for 20 minutes via Upstash Redis with automatic deletion via time-to-live (TTL) mechanisms to protect your privacy.

3.2 Premium PDF Reports

For users requiring comprehensive documentation, we offer downloadable PDF reports at £2.99 per report. These premium reports include:

• Detailed similarity analysis with risk scoring methodology
• Comprehensive database cross-reference results
• Visual similarity heatmaps and comparison matrices
• Strategic recommendations for risk mitigation
• Timestamp and unique report identifier for record-keeping
• Professional formatting suitable for presentations or legal consultations

PDF reports are available for download for 24 hours after purchase. After this period, reports are automatically deleted and cannot be re-downloaded without repurchasing.

3.3 IP-SAM™ Monitoring Service

IP-SAM™ (Intellectual Property Similarity Analysis & Monitoring) is our proprietary continuous monitoring service that tracks new trademark filings, domain registrations, and brand launches for potential conflicts with your protected intellectual property. This premium service operates on a subscription basis with custom pricing based on monitoring scope and alert frequency.

3.4 Strategic Advisory Services

Our advisory services provide expert guidance on IP protection strategies, brand safety planning, trademark registration preparation, and dispute resolution approaches. Advisory consultations are offered on a case-by-case basis with pricing determined by engagement scope and complexity.

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content, features, functionality, and technology provided through the Services—including but not limited to software, algorithms, machine learning models, databases, text, graphics, logos, icons, images, audio clips, video clips, data compilations, and the IP-SAM™ trademark—are the exclusive property of IPRightsHub Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms. This license does not permit you to:

• Copy, reproduce, distribute, or publicly display any portion of the Services
• Modify, reverse-engineer, decompile, or disassemble any software or algorithms
• Create derivative works based on the Services
• Use the Services to develop competing products or services
• Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.)

5.2 User-Submitted Content

When you submit content for analysis (text, images, names, logos, etc.), you retain all intellectual property rights to your submitted content. However, you grant IPRightsHub a limited, worldwide, non-exclusive license to process, analyze, and store your content solely for the purpose of providing the Services.

Important: Submitted content is automatically deleted after 20 minutes via TTL mechanisms. We do not retain, archive, or use your content for purposes beyond the immediate similarity analysis you requested.

You represent and warrant that you have all necessary rights to submit content for analysis and that your submissions do not infringe upon any third-party intellectual property rights.

6. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You explicitly agree NOT to:

6.1 Prohibited Activities

• Illegal Activities: Use the Services for any purpose that violates applicable laws, regulations, or ordinances
• Fraudulent Intent: Submit content you do not own or have authorization to analyze
• System Abuse: Overload, flood, spam, or mail-bomb our servers through automated requests, bots, or scripts
• Security Violations: Attempt to gain unauthorized access to systems, servers, networks, or data through hacking, password mining, or other means
• Reverse Engineering: Reverse-engineer, decompile, disassemble, or otherwise attempt to discover source code or underlying algorithms
• Malicious Code: Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material
• Competitive Use: Use the Services to develop, train, or improve competing IP analysis products or services
• Data Scraping: Systematically extract data through scraping, crawling, or automated means for purposes unrelated to legitimate similarity analysis
• Resale: Resell, sublicense, or commercially exploit the Services without written authorization
• Impersonation: Impersonate IPRightsHub, our employees, other users, or falsely state or misrepresent your affiliation with us

6.2 Rate Limiting and Fair Use

To ensure service availability and quality for all users, we implement rate limiting on scan requests. Excessive automated scanning, bulk processing, or patterns indicative of abuse may result in temporary or permanent suspension of access without notice or refund.

Fair Use Guidelines: Free scanning tools are intended for reasonable personal or commercial use. If you require high-volume scanning (e.g., 100+ scans per day), please contact us at enterprise@iprightshub.com to discuss API access or enterprise licensing arrangements.

7. Payment Terms and Billing

7.1 Pricing and Payment Processing

Paid services (PDF reports, IP-SAM™ subscriptions, advisory consultations) are processed securely through Stripe, Inc., a third-party payment processor certified to PCI Service Provider Level 1 standards. By purchasing paid services, you agree to provide accurate payment information and authorize Stripe to charge the specified amount to your payment method.

Current Pricing:

• PDF Reports: £2.99 per report (one-time payment)
• IP-SAM™ Monitoring: Custom pricing based on scope (contact sales@iprightshub.com)
• Advisory Consultations: Pricing determined on case-by-case basis

All prices are listed in British Pounds (GBP) unless otherwise specified. Prices are subject to change with reasonable notice. Promotional pricing or discounts may be offered at our discretion and are subject to specific terms and conditions.

7.2 Refund Policy

PDF Reports: Due to the digital, instantly accessible nature of PDF reports, all sales are final and non-refundable once the report download link has been generated. This policy is necessary to prevent abuse and protect our intellectual property.

Exceptions: We may provide refunds at our sole discretion in cases of:

• Technical errors preventing report generation or download
• Duplicate charges due to payment processing errors
• Billing errors on our part

To request a refund, contact support@iprightshub.com within 48 hours of purchase with your transaction ID and detailed explanation. Refund requests are evaluated on a case-by-case basis.

IP-SAM™ Subscriptions: Monthly or annual subscriptions may be canceled at any time, but refunds for partial periods are not provided unless required by law. Cancellations take effect at the end of the current billing cycle.

7.3 Taxes

You are responsible for all applicable taxes (sales tax, VAT, GST, etc.) unless we are legally obligated to collect and remit such taxes. Prices displayed may or may not include taxes depending on your location. Tax amounts will be clearly disclosed during checkout before payment authorization.

7.4 Payment Information Security

IPRightsHub does NOT store complete payment card details. All payment information is tokenized and encrypted by Stripe. We only retain transaction metadata (transaction IDs, timestamps, amounts) for customer support, accounting, and regulatory compliance purposes.

8. Data Privacy and Security

Your privacy is critically important to us. Our collection, use, storage, and protection of personal data is governed by our comprehensive Privacy Policy, available at iprightshub.com/policies/privacy.

Key Privacy Commitments:

• Scan data automatically deleted after 20 minutes via TTL mechanisms
• GDPR and CCPA compliance for EU/UK and California users respectively
• Minimal data collection limited to what's necessary for service delivery
• No sale of personal information to third parties
• Secure data storage with encryption in transit and at rest
• Third-party service providers bound by strict data protection agreements

By using the Services, you acknowledge that you have read and understood our Privacy Policy and consent to the data practices described therein, subject to your regional privacy rights under GDPR, CCPA, or other applicable laws.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, IPRightsHub disclaims all warranties, including but not limited to:

• Accuracy: We do not warrant that similarity analysis results are accurate, complete, reliable, current, or error-free
• Legal Validity: We do not guarantee that our analysis reflects actual legal infringement, IP conflicts, or trademark violations
• Availability: We do not guarantee uninterrupted, timely, secure, or error-free operation of the Services
• Database Completeness: Our databases may not include all existing trademarks, domain registrations, or intellectual property globally
• Third-Party Data: We are not responsible for errors, omissions, or inaccuracies in third-party databases or data sources we integrate with
• Outcome Guarantees: We do not guarantee any specific outcomes, results, or legal conclusions based on use of the Services

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. You may have additional rights that vary by jurisdiction.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IPRIGHTSHUB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, business opportunities, or goodwill
• Data loss, corruption, or unauthorized access
• Business interruption or operational delays
• Legal fees, court costs, or litigation expenses
• Trademark infringement claims, copyright disputes, or IP litigation arising from reliance on our analysis
• Decisions made or actions taken based on information provided through the Services
• Third-party claims, damages, or liabilities

Aggregate Liability Cap: In no event shall IPRightsHub's total aggregate liability to you for all claims arising out of or relating to the Services exceed the greater of (a) £100 GBP or (b) the total amount you paid to IPRightsHub in the 12 months preceding the claim.

These limitations apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise), even if IPRightsHub has been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless IPRightsHub, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your violation of these Terms or any applicable law or regulation
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Content you submit for analysis, including any claims that such content infringes third-party IP rights
• Your misuse of the Services or reliance on analysis results without consulting legal counsel
• Any fraudulent, abusive, or illegal activities conducted through your account

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim.

12. Termination and Suspension

12.1 Termination by You

You may discontinue use of the Services at any time. For accounts with active subscriptions (e.g., IP-SAM™), you may cancel by contacting support@iprightshub.com. Cancellations take effect at the end of the current billing period.

12.2 Termination or Suspension by Us

We reserve the right to suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent, abusive, or illegal activities
• Failure to pay fees or charges when due
• Abuse of rate limits or excessive automated scanning
• Security threats or attempts to compromise system integrity
• Legal or regulatory requirements
• Discontinuation of the Services (with reasonable notice)

12.3 Effects of Termination

Upon termination:

• Your right to access and use the Services immediately ceases
• Any outstanding fees or charges become immediately due and payable
• We may delete your account data in accordance with our data retention policies
• Provisions of these Terms that by their nature should survive termination (e.g., disclaimers, limitations of liability, indemnification) shall remain in effect

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms and any disputes arising from or relating to the Services shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

13.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts of England and Wales. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

13.4 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14. Changes to Terms of Service

We reserve the right to modify these Terms at any time to reflect changes in our Services, legal requirements, or business practices. The "Last Updated" date at the top of this document indicates when the Terms were most recently revised.

Notification of Material Changes:

• Prominent notice on our Website homepage for at least 30 days
• Email notification to registered users with active accounts
• In-app notifications for users of IP-SAM™ or other subscription services

Your Options: If you do not agree to modified Terms, you must discontinue use of the Services. Continued use after the effective date of modifications constitutes your acceptance of the revised Terms.

15. Miscellaneous Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and IPRightsHub regarding the Services and supersede all prior agreements, understandings, or communications, whether written or oral.

15.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

You agree to comply with all applicable export and import control laws and regulations. You may not use the Services in any country subject to UK or international trade sanctions or embargoes.
